  • Attempt to disrupt or compromise the security or integrity of the Services
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Services to store or transmit malicious code
Prohibited Use: AI and Machine Learning Training

You may not use, access, scrape, collect, store, copy, or otherwise process any content, data, or information from the Services for the purpose of training, fine‑tuning, or improving any artificial intelligence systems, machine learning models, large language models (LLMs), or similar technologies without the express prior written consent of Noxigen LLC. Any automated or programmatic collection of data for these purposes is strictly prohibited. Noxigen LLC reserves all rights to enforce this restriction and pursue legal remedies for unauthorized use.

Noxigen may also suspend or terminate access if these Terms are violated.

2. Accounts and Registration

To use certain features, you must create an account and provide accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity occurring under your account
  • Notifying us immediately of any unauthorized access

3. Customer Data

“Customer Data” means any data, content, or information submitted to the Services by you or on your behalf.

You retain all ownership rights to Customer Data. You grant Noxigen a limited, non‑exclusive license to process Customer Data solely for the purpose of providing and improving the Services.

We do not access Customer Data except as necessary to:

  • Provide technical support
  • Maintain security
  • Comply with legal obligations

4. Software Updates

The Services may include software components that are updated automatically. You agree to receive such updates as part of your use of the Services.

5. Service Availability

We strive to maintain reliable and secure Services but do not guarantee uninterrupted availability. Planned maintenance, updates, or unforeseen issues may result in temporary downtime.

6. Fees and Payment

If your organization subscribes to paid Services, fees and billing terms are defined in the applicable order form, invoice, or subscription agreement. Failure to pay may result in suspension of access.

7. Intellectual Property

Noxigen owns all rights, title, and interest in the Services, including software, documentation, and related materials. Except for the limited rights expressly granted, no licenses or rights are transferred to you.

8. Confidentiality

Each party agrees to protect the other party’s confidential information with reasonable care and to use it only for purposes related to these Terms. Customer Data is treated as confidential.

9. Security

We implement administrative, technical, and physical safeguards designed to protect the Services and Customer Data. You are responsible for securing your own systems and ensuring authorized access to your account.

10. Compliance With Laws

You are responsible for ensuring that your use of the Services complies with all applicable laws, including data protection and export control regulations.

11. International Use

The Services may be accessed globally. You are responsible for ensuring compliance with local laws in your jurisdiction. Noxigen processes personal data in accordance with GDPR, CCPA, CPRA, and other applicable privacy regulations.

12. Disclaimers

The Services are provided “as is” and “as available.” Noxigen disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Noxigen is not liable for indirect, incidental, special, or consequential damages
  • Noxigen’s total liability for any claim arising out of or relating to the Services will not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim

Some jurisdictions do not allow certain limitations, so these may not apply to you.

14. Termination

Either party may terminate these Terms with written notice if the other party materially breaches them and fails to cure the breach within a reasonable period.

Upon termination:

  • Your right to use the Services ends
  • You may request a copy of Customer Data within 30 days
  • Noxigen may delete Customer Data after the retention period

15. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date reflects the most recent version. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict‑of‑law principles. Any disputes will be resolved in the state or federal courts located in Tennessee.
